DineCircle Terms and Conditions of Use

Welcome to DineCircle's Terms and Conditions of Use (these "Terms"). This is a contract between you and DineCircle, operated by Synic LLC ("we," "us," or "our"), that connects individuals for social dining experiences. By accessing or using the Service, you agree to be legally bound by these Terms. Please read them carefully before using the Service. If you do not agree to these Terms, you may not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, and agree to comply with these Terms. These Terms also include our Privacy Policy and any additional guidelines or rules posted on the Service, which are incorporated by reference.

DineCircle is a social dining platform that connects 5-6 like-minded individuals for curated group meals at top-rated restaurants. The Service facilitates meaningful connections—whether for friendship, professional networking, or simply enjoying great food with interesting people—through the following process:

While we strive to create balanced and compatible groups through our AI matching, we do not guarantee any specific gender ratio, age range, or level of compatibility among participants at any given event. Furthermore, due to the nature of recurring events, we cannot guarantee that you will meet entirely new individuals at every dinner; you may encounter participants from previous events.

5. Tickets and Payments

5.1 Ticket Purchase

DineCircle tickets cover event organization and matching services. Tickets are required to participate in a dinner event, are non-transferable, and for individual use only. They can be purchased for any available date on our event calendar.

Ticket prices will be displayed during the sign-up process. Prices may vary based on location, demand, or promotional offers. Only tickets purchased directly through the DineCircle platform are valid for event participation.

5.2 Dinner Costs

Dinner costs (meals and drinks) are not included in the ticket price. Each participant is responsible for paying their own bill directly to the restaurant.

5.3 Payment Authorization

By purchasing a ticket, you authorize us to charge your provided payment method for the ticket price.

All payments are processed through third-party payment processors, subject to their terms and conditions.

5.4 Restaurant Availability and Dietary Needs

While DineCircle partners with specific restaurants, the final restaurant selection for an event may be subject to change due to unforeseen circumstances or availability. We make reasonable efforts to choose venues with diverse options, but we cannot guarantee the availability of specific menu items (e.g., meat, fish, vegetarian) or the absence of allergen cross-contamination. Preferences indicated during sign-up are guidelines for matching, not guarantees for the restaurant menu. If you have severe dietary restrictions or allergies, you are responsible for reviewing the restaurant's menu beforehand and communicating directly with the restaurant staff. If a chosen restaurant cannot accommodate your needs, please contact us as early as possible; while we may attempt to find alternatives or reschedule, changes are not guaranteed.

5.5 Refunds and Cancellations

You may cancel your ticket and receive a full refund if you notify us at least 48 hours before the scheduled event.

Cancellations within 48 hours of the event are not eligible for a refund unless otherwise specified by us.

We reserve the right to cancel an event at any time due to unforeseen circumstances (e.g., restaurant closure, insufficient sign-ups). In such cases, you will receive a full refund.

Repeated late cancellations (within 48 hours) or failures to attend without cancellation ("no-shows") may result in suspension or termination of your account, as outlined in Section 12. No-shows may be reported by other event attendees or restaurant partners.

8. Intellectual Property

All content on the Service, including text, graphics, logos, and software (excluding User Content as defined below), is owned by or licensed to Synic LLC and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

Any information you provide to us, such as quiz responses or feedback (collectively, "User Content"), remains your property. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, store, and process it to provide and improve the Service, including for matching purposes.

You are responsible for ensuring your User Content is accurate, lawful, and does not infringe on third-party rights.

Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and share your personal information. By using the Service, you consent to such processing as outlined in the Privacy Policy, including how we use AI for matching based on your provided information.

11. Third-Party Services

The Service may involve third parties, such as restaurants and payment processors. We are not responsible for the actions, services, or policies of these third parties. Your interactions with them are governed by their respective terms and conditions.

12. Service Availability and Quality

DineCircle strives to maintain high quality and availability of its platform and services. We perform regular checks and maintenance. However, we are not liable for interruptions, delays, or failures caused by factors outside our reasonable control, including but not limited to: internet network issues, hosting provider outages, server failures, user equipment or configuration errors, or necessary maintenance periods. Scheduled maintenance that may impact service access will be communicated where feasible.

By You: You may terminate your account at any time by contacting us or following the instructions in your account settings.

By Us: We may suspend or terminate your account, or discontinue the Service, at our discretion, with or without notice, for reasons including but not limited to:

To the fullest extent permitted by law, Synic LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

These Terms are governed by the laws of the State of Washington. Any disputes arising from these Terms will be resolved through binding arbitration in Seattle, Washington, except for small claims, which may be filed in a local court. You waive your right to participate in class actions against us.

Synic LLC will not be liable for failure to perform any obligation under these Terms to the extent that the failure is caused by acts of God, pandemics, war, civil unrest, fire, flood, or other events beyond our reasonable control.
